Confidentiality Agreement

This Confidentiality Agreement is made between the Prospective Buyer of the Business including their associated agents or advisors (collectively known as “Buyer”) and with the Seller of the Business (collectively known as “Seller”) and the business broker, HINS Business Brokers (“Broker”)

 The Buyer agrees:

  1. Not to approach or visit the business to request or obtain information about business without prior consent from the agent.
  2. Not to directly contact the seller, staff of the business, suppliers or customers, landlord, managing agent or any other parties associated with the business.
  3. Not to distribute the provided Information Memorandum or any information provided regarding the Business, in part or in whole, to other parties in any form.If confidential information is to be provided to the Buyer’s lawyer, accountant, financial advisors or banks, prior written approval must be provided by the Agent or the Vendor beforehand.
  4. Not establish, commence or operate a competing business based on the information provided in the Information Memorandum or other information provided regarding the Business.
  5. To destroy or return the Information Memorandum in whole within one week (7 days) of notifying the Broker of the buyer’s intention not to purchase the business.
  6. All information provided in the Information Memorandum including further information provided to the buyer regarding the Business must be held in strict confidence.

Further:

  1. The buyer will be required to seek written confirmation from the agent if the buyer intends to perform any of the above actions.
  2. If the Buyer intends to purchase the business, it must be purchased through the Agent unless the agent advises otherwise.
  3. The Broker and its agents are not financial advisors and by no means able to provide financial information.Independent financial advice should be sought if necessary.
  4. All information provided in the Information Memorandum has been collated from the Sellers and the Seller’s advisors including their accountants, lawyers, management agents etc.The broker holds no responsibility as to the accuracy of the information provided and further advice should be sought as necessary.

By submitting this agreement,  you have agreed fully to the terms of this Non Disclosure Agreement.
